UGC Licensing Explained: The Complete Guide

Sep 11, 2026 8 min read

User-generated content is one of the highest-converting assets a brand can publish. But "UGC" and "licensed content" are not the same thing. Posting a creator's video on your product page without a license is copyright infringement — even if the creator tagged your brand.

This guide covers every term in a UGC license, in plain English, so you know exactly what you're buying — and what you're not.

Usage scope

Usage scope defines what the brand can do with the content. Common scopes include:

  • Organic social. Posting on the brand's own social channels.
  • Paid social. Running the content as an ad (this usually costs more).
  • Website / e-commerce. Using the content on product pages, landing pages, or the homepage.
  • Email / CRM. Including the content in newsletters or lifecycle emails.
  • Retail / in-store. Displaying the content in physical stores or packaging.

The most common mistake brands make is assuming "organic social" includes "paid social." It doesn't. Most creators charge a separate fee — often 2-3x the organic rate — for paid usage, because paid ads can run indefinitely and reach far larger audiences.

In ConsentSync: Usage scope is a required field on every consent request. The creator sees exactly what they're approving before they sign.

License duration

Duration defines how long the brand can use the content. Common durations:

  • 30 / 90 days. Short-term, often for a specific campaign.
  • 6 / 12 months. Standard for most brand deals.
  • Indefinite / perpetual. The brand can use the content forever.

Indefinite licenses are powerful for brands — once you've paid, you can reuse the content for years. But creators are increasingly reluctant to grant them, because a perpetual license means the content can never be re-licensed to a competitor.

Watch out for: Licenses that auto-renew unless cancelled. These are legal in most jurisdictions but create ongoing obligations. A clean, fixed-term license with a clear expiry date is always safer.

In ConsentSync: Every request has a license duration label and a computed expiry date. When a license is about to expire, the brand gets an automatic alert so they can renew or take the content down.

Exclusivity

Exclusivity defines whether the creator can work with competitors during the license term.

  • Non-exclusive. The creator can work with competing brands at the same time. This is the default and the cheapest.
  • Category-exclusive. The creator cannot work with direct competitors in the same product category (e.g., two skincare brands) for a defined period.
  • Full exclusive. The creator cannot produce any content for any other brand for the duration. This is the most expensive and should be time-limited.

Category exclusivity is the sweet spot for most brands — it prevents the awkward moment where your UGC star appears in a competitor's ad the same week.

Territory

Territory defines where the brand can use the content geographically.

  • Global / worldwide. Use anywhere.
  • North America / EU / specific markets. Use only in defined regions.

Territory matters more than brands expect. If you run a global e-commerce business but only license content for the U.S. market, running that content in your EU ad account is a breach of the license.

Payment terms

UGC deals use three payment structures:

  • Cash. A flat fee for the content and the license.
  • Gifted / barter. Free product in exchange for content. The product's retail value is the "consideration."
  • Mixed. A reduced cash fee plus product.

For gifted deals, always document the product's retail value — it establishes that consideration was exchanged, which strengthens the contract's validity.

What a complete UGC license includes

A defensible UGC license specifies all of the above, in writing, signed by the creator. That's the entire premise of ConsentSync: every term is captured in a structured agreement, presented to the creator on a branded approval page, and signed with a legally valid electronic consent record.

If you're licensing UGC without documenting every one of these terms, you're not licensing — you're hoping.
